Vigil Mechanism & Whistle Blower Policy

Purpose and scope

Switching Technologies Gunther Limited is committed to the highest standards of ethical, moral, and legal business conduct. In line with this commitment, the Company has established a Vigil Mechanism and Whistle Blower Policy that provides a structured mechanism for directors and employees to report genuine concerns about unethical behaviour, actual or suspected fraud, or violation of the Company's Code of Conduct or Ethics Policy.

This policy is established pursuant to Regulation 22 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and Section 177(9) of the Companies Act, 2013.

Mechanism

Concerns may be reported to the Audit Committee through the Company Secretary. The mechanism allows for anonymous reporting and ensures that concerns are investigated in a fair and timely manner. The identity of the complainant is kept confidential to the extent possible.

Concerns raised are reviewed by the Audit Committee, which may direct the management to conduct an investigation, if required, and take appropriate remedial action.

Protection of Whistle Blowers

No person who raises a concern in good faith shall be subject to any retaliation, discrimination, or adverse employment action. Any such retaliation will itself be treated as a serious violation of this Policy. Individuals who knowingly make false allegations, however, may be subject to disciplinary action.

The Audit Committee has direct access to the Chairman of the Board in exceptional cases. Any director, employee, or other stakeholder may write directly to the Chairman of the Audit Committee with concerns.
